By using this software product and accompanying materials (collectively, the "Software"), You (as an individual or a legal entity) agree to the terms and conditions of the License Agreement below, and thereby conclude the said Agreement with ACCESS CO., LTD. ("ACCESS") If You agree to the License Agreement on behalf of a legal entity, You represent that You are authorized to bind the entity to the terms and conditions of the Agreement.
If You do not agree with all the provisions of the License Agreement, You will not be able to use the Software.

You may not engage in any of the following acts without written approval from ACCESS:

1.Selling, sub-licensing, lending, renting, leasing, or otherwise distributing the Software to a third party;
2.Except for installing the Software onto one (1) device owned or operated by You, copying the Software;
3.Amending, adapting, modifying, reverse engineering, decompiling or disassembling the Software, or creating derivative works of the Software;
4.Incorporating the Software or its derivative works into a hardware product, and selling, lending or offering it to third parties; or
5.Deleting, obscuring or modifying the notices on copyright or other intellectual property rights, immunity and other matters given by respective rightful owners mentioned in the Software, or adding new notices that may cause confusion on these matters.

4. Disclaimer of Warranties

The Software is provided to You "as is" with all faults, without warranty of any kind, express or implied, as to freedom from defects, merchantability, usability, fitness for a particular purpose or other. Use of the Software should be performed at Your own risk and based on Your own judgments and responsibility.

5. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL ACCESS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR RELATED TO USE OR FAILURE TO USE OF THE SOFTWARE UNDER THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM LOSS OF PROFITS, DATA, BUSINESS OR GOODWILL, HOWEVER CAUSED AND ON WHATEVER THEORY, WHETHER BASED ON BREACH OF CONTRACT OR WARRANTY, TORT (INCLUDING NEGLIGENCE), THE FAILURE OR ASSERTED FAILURE OF ACCESS TO PERFORM ITS OBLIGATIONS HEREUNDER OR OTHERWISE, AND WHETHER OR NOT ACCESS HAS BEEN ADVISED OR IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY OR LIMITATION OF LIABILITY, ACCESS’ ENTIRE LIABILITY TO YOU ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SUBJECT MATTER HEREOF, UNDER ANY LEGAL THEORY (WHETHER IN CONTRACT, TORT, INDEMNITY OR OTHERWISE), IF ANY, SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE AND THE PARTIES ACKNOWLEDGE THAT THIS ALLOCATION OF RISK IS A MATERIAL CONDITION UPON WHICH ACCESS ENTERS INTO THIS AGREEMENT.

6. Services and Third Party Materials.

The Software may enable access to ACCESS' or third party's services and web sites (collectively and individually, "Services"). Use of the Services may require Internet access and that You accept additional terms of service.

To the extent You receive from ACCESS any publicly available software including, but is not limited to, software and/or library distributed on the terms of GNU GPL/LGPL (''Publicly Available Software'') as part of the Software under this Agreement, and notwithstanding any provision to the contrary, the restrictions on use, modification or reproduction of the Software do not apply to the portion thereof that constitutes source code for any Publicly Available Software or Publicly Available Software component of the Software. The rights and obligations of Licensee with respect to such source code and source code documentation for Publicly Available Software shall be as set forth in the Publicly Available Software license under which ACCESS distributes such code to Licensee. Source code for the Software is available free of charge under Publicly Available Software license agreements at http://www.access-company.com/about/opensource/

7. Personal Information and Privacy Policy

You may be required to provide us with information about You such as Your e-mail address and name (collectively “Personal Information”) when You use the Software. The Personal Information allows us to improve our Software and services.

8. Advertisement

The distribution of the Software is supported by advertising revenue and ACCESS may display advertisements and promotions on the Software. The manner, mode and extent of advertising by ACCESS on the Software are subject to change without specific notice to You. In consideration for ACCESS granting You to use the Software, You agree that ACCESS may place such advertising on the Software. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Software, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such advertiser. You agree that ACCESS shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Software.

9. Termination

The license is effective until terminated by You or ACCESS. Your rights under this license will terminate automatically without notice from ACCESS if You fail to comply with any term(s) of this license. Upon termination of the license, You shall cease all use of the Software, and destroy all copies, full or partial, of the Software.

10. Export Restrictions

The Software, including technical data, is subject to Japanese, EU and U.S. export control laws, including the Japanese Foreign Exchange and Foreign Trade Law and the U.S. Export Administration Act and their associated regulations, and may be subject to export or import regulations in other countries. You agree to comply with all such laws and regulations and acknowledge that You have the responsibility to obtain licenses to export, re-export, or import the Software. The Software may not be downloaded, or otherwise exported or re-exported (i) into, or to a national or resident of, Cuba, Iraq, Iran, North Korea, Libya, Sudan, Syria, Afghanistan or any country to which Japan or the U.S has embargoed; or (ii) to anyone on the Japanese End User List or the U.S. Treasury Department’s list of specially Designated Nations or the U.S. Commerce Department’s Table of Denial Orders.

11. Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of California, the United States, if You are located outside of Japan, or the laws of Japan, if You are located in Japan, without regard to choice of law rules thereof. Any dispute arising out of or relating to the Terms shall be brought exclusively in the federal or state courts in the Santa Clara County, California, the United States, if You are located outside of Japan, or the Tokyo District Court, Tokyo, Japan, if You are located in Japan.The laws of the State of California, excluding its conflicts of law rules, govern this license and your use of the Software. Your use of the Software may also be subject to other local, state, national, or international laws.
